Terms and Conditions of Service

1. Agreement to Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and CM-Focus LLC doing business as SocialHire (“SocialHire,” “we,” “us,” or “our”), a company incorporated in the State of Texas with its principal place of business at 411 West Monroe, Austin, TX 78704.
By accessing or using the SocialHire platform, website (socialhire.io), mobile applications, APIs, or any related services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.
If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case the term “you” refers to that entity.
2. Description of Services
SocialHire provides a cloud-based workforce management platform built on the Salesforce.com (Force.com) infrastructure. Our Services are designed exclusively for human resources, talent acquisition, and workforce management purposes and include:
• Applicant Tracking System (ATS) — tools to manage job postings, candidate pipelines, interviews, and hiring workflows
• Employee Referral Management — a structured program enabling existing employees of a client organization to refer qualified job candidates to open positions within that same organization
• Recruitment AI Agent — AI-assisted tools to support sourcing, screening, and communicating with job candidates
• Vendor Management System (VMS) — tools to manage relationships with staffing vendors and contingent workforce suppliers
• Professional Services Automation (PSA) — tools for project tracking, resource scheduling, and margin management
• Candidate Relationship Management (CRM) — tools to manage and nurture talent pipelines and employer-candidate relationships
• SMS Job Alerts — text message communications to candidates regarding job opportunities, interview reminders, and application updates, subject to explicit opt-in consent
• High-Volume Staffing Tools — solutions for employers needing to hire large numbers of hourly or temporary workers
SocialHire is a business-to-business (B2B) Software-as-a-Service (SaaS) platform. We do not provide staffing services, placement services, or employment brokerage. We do not generate leads for third-party advertisers or marketers, and we do not operate affiliate marketing programs.
3. Employee Referral Programs
SocialHire’s platform includes tools that allow employer clients to administer internal employee referral programs. These programs enable a client’s existing employees to recommend qualified individuals from their personal or professional networks as candidates for open positions within that same client organization.
The following clarifications apply to SocialHire’s employee referral functionality:
• Employee referral programs are operated exclusively by and for SocialHire’s employer clients, not by SocialHire itself
• Any referral incentive or bonus (if applicable) is paid by the employer client to its own employee under the employer’s internal compensation policies; SocialHire has no role in administering, funding, or guaranteeing such payments
• SocialHire does not collect, purchase, or broker candidate data on behalf of third-party companies, advertisers, or lead buyers
• Referred candidates interact directly with the hiring employer; SocialHire facilitates the workflow but does not act as an intermediary recruiter or staffing agency
• No user is required to participate in any referral program as a condition of accessing any SocialHire service
These referral tools are an HR management feature and do not constitute affiliate marketing, performance-based lead generation, or any form of third-party marketing arrangement.
4. Eligibility and Account Registration
The Services are intended for use by businesses, organizations, and professionals. To access the Services, you must:
• Be at least 18 years of age
• Have the legal authority to enter into binding agreements
• Not be barred from using the Services under applicable law
• Provide accurate, complete, and current registration information
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at info@socialhire.io if you become aware of any unauthorized use of your account.
5. Acceptable Use
5.1 Permitted Uses
You may use the Services solely for lawful workforce management, HR, recruiting, and talent acquisition purposes as intended by the platform.
5.2 Prohibited Uses
You agree not to use the Services to:
• Engage in any form of affiliate marketing, lead generation for third parties, or advertising arbitrage
• Collect candidate data for resale, distribution, or transfer to third-party marketers, data brokers, or advertisers
• Harvest, scrape, or mass-collect data without authorization
• Send unsolicited commercial messages (spam) or communicate with candidates who have not consented to contact
• Violate any applicable law, including employment law, privacy law, anti-spam law (CAN-SPAM, TCPA), or data protection regulation
• Impersonate any person or entity or misrepresent your affiliation
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Services or related systems
• Use the Services to discriminate against protected classes in violation of applicable employment discrimination laws
• Reverse engineer, decompile, or disassemble any part of the Services
SocialHire reserves the right to suspend or terminate access to the Services for any user found to be in violation of this section.
6. SMS Communications
SocialHire operates an opt-in SMS messaging program for job alerts, interview reminders, application updates, and hiring-related notifications. The following terms govern SMS communications sent through the platform:

• Consent is required before any SMS messages are sent. Consent is never a condition of purchase.
• You may opt out at any time by replying STOP to any message.
• We do not sell, rent, or share mobile phone numbers with third parties for marketing purposes.
• SocialHire is not responsible for carrier message and data charges.
• SMS opt-in records are retained for a minimum of 4 years to comply with TCPA requirements.
7. Subscription, Fees, and Payment
Access to the Services requires a paid subscription. All fees are set forth in the applicable Order Form or subscription agreement between SocialHire and the client organization. The following terms apply:
• Fees are billed in advance on a monthly or annual basis, as specified in the applicable Order Form
• All fees are non-refundable except as expressly stated in these Terms or required by applicable law
• SocialHire reserves the right to modify fees upon at least 30 days’ written notice prior to the next billing cycle
• Overdue invoices may be subject to a late fee of 1.5% per month or the maximum permitted by law, whichever is less
• You are responsible for all applicable taxes, duties, and levies associated with your subscription
• Failure to pay fees may result in suspension or termination of access to the Services
8. Data, Privacy, and Security
The collection and use of personal information through the Services is governed by our Privacy Policy, available at socialhire.io/privacypolicy, which is incorporated into these Terms by reference.
Key data practices:
• We do not sell personal information to third parties
• Candidate data submitted through the Services is used solely to facilitate the recruiting and hiring activities of the employer client
• We implement industry-standard technical and organizational security measures to protect data
• You retain ownership of all data you upload or create within the platform
• SocialHire processes data as a data processor on behalf of employer clients, who are the data controllers
• California residents have rights under the CCPA as described in our Privacy Policy
9. Intellectual Property
All technology, software, trademarks, service marks, logos, and content comprising the SocialHire platform (excluding client-uploaded content) are the exclusive property of CM-Focus LLC or its licensors, protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes during the term of your subscription. This license does not permit you to sublicense, sell, resell, or commercially exploit the Services.
10. Disclaimers and Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOCIALHIRE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIALHIRE’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL SOCIALHIRE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11. Indemnification
You agree to indemnify, defend, and hold harmless CM-Focus LLC dba SocialHire, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content you upload or transmit through the Services.
12. Term and Termination
These Terms remain in effect for the duration of your subscription. Either party may terminate the agreement by providing written notice as specified in the applicable Order Form. SocialHire may suspend or terminate your access immediately for material breach of these Terms, including unauthorized or prohibited use.
Upon termination, your right to access the Services ceases. We will make your data available for export for 30 days following termination, after which it may be deleted in accordance with our data retention policies.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Services shall be submitted to binding arbitration in Austin, Texas, under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.
14. Changes to These Terms
SocialHire reserves the right to modify these Terms at any time. We will provide at least 30 days’ written notice of material changes via email to the address associated with your account or by posting a prominent notice on our website. Your continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms.
